BIDDING:Eachanimalwillbesoldtothehighestbidderwithoutreserve.
BIDDINGDISPUTE:TheAuctioneer inchargewillsettleanydisputeastobids,andhisdecisiononsuchmattersshallbefinal.
CASHSALE: Allsalesareforcashunlesssatisfactorycreditarrangements, includinganypossiblereservationofsecurity interestbytheseller,havebeenmadewiththesellerpriortosale.
BUYER’SRISKATTHETIMEOFSALE: Theriskof lossand injuryofeachanimalpassestothebuyerassoonas it issold;however, it istheobligationofthesellertoensurethatsoldanimalsarefedandcaredforfreeofchargetothebuyeruntil loadedforshipmentoruntilthe
expirationof24hoursafterthesale,whicheveroccurssooner.
CERTIFICATESOFREGISTRATION: Atransferredcertificateofregistrationmustbefurnishedbythesellerfreeofchargetothebuyerforeachanimalwithin65daysfollowingthe laterofeitherthedateofsaleoruponthereceiptoffullpayment.
HEALTH: Healthpaperssuitablefor interstateshipmentwillbefurnishedonallanimals.
ANNOUNCEMENTS: Ifthere isany inconsistency in information intermsofthesalesmaterials(e.g.salecatalog,supplementalsheets,saledayannouncements)1)saledayannouncementswillcontroloverboththesupplementsheetandthesalecatalog,and2)the
supplementsheetwillcontroloverthesalecatalog.
IDENTIFICATIONRESPONSIBILITIES: 1)Priortothesale,thesellermustensurethateachanimalhasareadablepermanent identificationmark(tattoo,hot-ironbrandorfreezebrand)correspondingto itsregistration identificationand2)Thebuyermustcheckallpermanent
identificationmarksforaccuracyuponpossessionandreportanydiscrepanciestotheseller immediately.
OFFICIALBBUINFORMATION: AllexistingavailableofficialBBU information, includingcalfsource,servicesireand/orpotentialservicesires(registrationnumbers)andperformancedatamaybe included inthefinalsalescatalog.
PEDIGREE,PERFORMANCEANDGENETICINFORMATIONGUARANTEES: Thesellerguaranteestothebuyerthat: 1)thepedigree,performancedataandgenetic information,asrepresented inanysalesmaterials(includingsalecatalog,supplementalsheetorsaleday
announcement),areaccurate;and,2)all informationfromtheBBUdatabase isaccompaniedbyanaccuratelystated“asof”date. Theabsence inanysalesmaterialsofaspecificdesignationonthepedigreeofananimaldoesnotestablishthattheanimal inquestion isnota
carrierofsuchgeneticdefect.
BREEDINGGUARANTEES:
1)Thesellerguaranteesthatallanimalsarebreeders,withtheexceptionof: (a)calvesunder12monthsofageatthetimeofthesale;(b)animalsshownafterthesalehasoccurred(insuchcases,thebreedingguarantees, ifany ,willbethoseguaranteesasareagreedupon
betweenthesellerandthebuyer);(c)animalswhosuffer injuryordiseasefollowingthesale;(d)animalsadministeredanysuperovulationdrugorgrowthhormoneafterpurchase;and,(e)animalssubjectedtogrossnegligencebyorwillfulmisconductonthepartofthe
buyer.
2) Bullseighteen(18)monthsorolderareguaranteedbythesellertohavepassedaBullBreedingSoundnessEvaluation(BSE)andtohavebeencertifiedasatisfactorypotentialbreederbya licensedveterinarianwithsixty(60)dayspriortosaledate. ResultsoftheBSE
mustbereportedonafullycompletedofficialformandattachedtothehealthpapersrequiredforthesale.
3) Ifwithinone-hundredtwenty(120)daysfromthedateofsale,thebullhasfailedtopassaBSEcertifiedbya licensedveterinarian,buyermustsendsellerwrittennotificationofthefailureofthetestwithinone-hundredtwenty(120)daysfromthedateofsaleand
includetheBSEtestresults. Withinsixty(60)daysaftersellersnotificationofthefailedBSEtest,buyerandsellershall identifyamutuallyagreeable licensedveterinarianortechniciancertifiedbya licensedveterinariantoperformanotherBSEonthebullatthebuyer’s
expense. Theresultsofthetestshallbedeemedfinalandconclusiveofthismatterandbindingonbuyerandseller. If, intheopinionofsaidveterinarianortechnician,thebull isunabletopassaBSEandbeconfirmedasatisfactorypotentialbreeder,heshallsocertify inwrit-
ingtothesellerandthebuyerwhichshall includetheofficialfromusedbytheSocietyofTheriogenologyortheofficialBBUBSEform. Insucheventthebuyermayreturnthebulltothefarmofseller,providedthebull is ingoodconditionand incompliancewiththehealth
requirementsoftheseller’sstate,forarefundofthefullpurchaseprice. Theacceptanceoftherefundofthefullpurchasepriceshall inanycasebedeemedfullsatisfactionandsettlementofthematter. Thesellerandbuyershallbearequallyallresonableandnecessary
transportationexpensesthatare incurred inreturningtheanimaltoseller.
Unlessotherwiseagreedbythebuyerandtheseller,thesellermakesnoguaranteeswithrespecttotheabilitytofreezesemen.
PRIVILEGESOFRETURNORADJUSTMENTOPTIONS:
1) Withtheexceptionofanyapplicabletransportationexpensesdescribedherein,asellershallneverbe liabletoabuyerforanamountgreaterthantheoriginalsellingpriceofanyanimalsoldundertheseSalesTermsandConditions.
2) Unlessotherwisestated,allclaimsforadjustmentorrefundmustbemade inwritingtothesellerwithin180daysfollowingthesaleoftheanimal inquestion.
3) Ifananimal isclaimedtobeanon-breeder,theanimalmaybereturnedtotheseller if it is inagoodconditionandcomplieswiththehealthrequirementsoftheseller’sstate. Attheoptionofthebuyer,thesellermay issueacredittothebuyerforuse inafuturepurchase
orprovideananimalofequalvaluesubjecttotheapprovalofbuyer. Ifthebuyerexerciseseithersuchoption,theclaimshallbedeemedfullyandsatisfactorilyresolved. However, intheeventthatthebuyerrequestsarefundofthepurchaseprice,thesellermay,at itsoption,
either issuearefundofthefullpurchasepriceor,shallhave180daysfromthedatetheanimal isreturnedtotheseller’sfarmtoconductatrialtodemonstratethereturnedanimal isabreeder. Refundofthefullpurchasepriceordemonstratedproofthattheanimal isa
breederduringthetesttrialshallbedeemedfullsatisfactionandsettlementoftheclaim. Anyexpense incurredfortransportingananimalclaimedtobeanon-breederwillbetheresponsibilityofthebuyer,exceptthatthesellerwillberesponsiblefortransportationcosts in
excessofthedistancebetweenthebuyer’sfarmandthe locationwherethesaletookplace. Ifthesellerprovestheanimaltobeabreeder, itwillbetheobligationofthebuyertotakedeliveryoftheanimalandpayalltransportationexpenses.
4) Ifananimal issoldandsubsequentlybecomes ineligibleforregistrationundertherulesofBBUforreasonsotherthan incorrectparentage,thesellermustmakeasatisfactoryadjustmentonthepurchasepricetothebuyer,orattheoptionofthebuyer,refundthepurchase
priceuponthereturnoftheanimaltothefarmoftheseller.
5) Ifananimal(includingtheoffspringofapregnantrecipient) issoldandthroughparentageverification isproventohave incorrectparentage,asrepresentedbytheanimal’scertificateofregistration,andforwhichcorrectparentagecanbedetermined,theseller is
obligatedtomakeasatisfactoryadjustmentonthepurchaepricetothebuyeror,atthebuyer’soption,refundthepurchasepriceuponthereturnoftheanimaltothefarmoftheseller. Anyclaimforadjustmentorrefundunderthisparagraphmustbemade inwritingtothe
selleronorbeforethefirstanniversaryofthedateofthesale.
6) Unlessstatedotherwise,alltransportationexpenses incurredwillbetheresponsibilityofthebuyer,execeptthatthesellerwillberesponsiblefortransportationcosts inexcessofthedistancebetweenthebuyer’sfarmandthe locationwherethesaletookplace.
GENETICDEFECTSANDFACTORS: REQUIREDDISCLOSURESRELATINGTOCERTAINTESTRESULTSORPOTENTIALCARRIERSTATUSOFANANIMAL:
1) Inadvanceofanysalesofananimal,thesellershallhavetheaffirmativedutytonotifyanypotentialbuyerofanytestresults inwhichananimalforsalehastestedpositive(underatestandata laboratoryapprovedbyBBU)asacarrierofanygeneticdefectorgenetic
factorrecognizedbyBBU.
MISCELLANEOUS:
1) Theabovetermsandconditionsofsaleconstituteacontractbetweenthebuyerandthesellerandareequallybindinguponbothparties. Eachsaleorresaleofananimalconstitutesaseparatetransaction.
2) NeitherBBUnoranydirector,officer,employeeorrepresentativeofBBUoranyof itsrelatedentitiesshallbe liable inanywaywithrespecttoatransactionconductedundertheseSalesTermsandConditions;norshallBBU, itsdirectors,officers,employeesorrepresen-
tativesberesponsible inanywayforenforcingthetermsandconditionsofanyagreementbetweenabuyerandaseller. EachbuyerandselleragreetoholdBBU, itsdirectors,officers,employees,representativesandrelated intitiesharmlessfromalldamages,expenses,
claims, lossesandother liabilitiesassociatedwithatransactionconductedundertheseSuggestedSalesTermsandConditions.
3) Nosponsor,salemanager,orotherpersonconnectedwiththemanagementofasaleshallbe liable inanywaywithrespecttotransactionsconductedundertheseSalesTermsandConditions.
4) Thesesaletermsandconditionsandallrights,obligationsanddutiesarisinghereunderandalldisputesarisinghereunderwillbeconstrued inaccordancewith,andgovernedby,the lawsofthestate inwhichthesaleoccurs,withoutgivingeffecttosuchstate’schoiceof
lawrules.
5) UNLESSOTHERWISEEXPRESSLYSTATEDINTHESESALETERMSANDCONDITIONSORANYOTHERWRITTENAGREEMENTBETWEENTHEPARTIESRELATINGTOTHESALEORBEEFMASTER,BEEFMASTERADVANCER,E6ORUPGRADINGCATTLEUNDERTHESESALETERMSAND
CONDITIONS,SELLERMAKESNOOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGANYIMPLIEDWARRANTYOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE,EVENIFSUCHPURPOSEISKNOWNTOTHEPARTIES. THEREMEDIESPROVIDEDINTHESESALE
TERMSANDCONDITIONSARETHEEXCLUSIVEREMEDIESOFTHEBUYER,ORANYPARTYCLAIMINGTHROUGHTHEBUYER,ANDUNDERNOCIRCUMSTANCESWILLTHESELLERBELIABLEFORANYINCIDENTAL,INDIRECT,SPECIAL,CONSEQUENTIAL,PUNITIVEOREXEMPLARY
DAMAGESUNDERANYINDEMNITYPROVISIONOROTHERWISE.
